KETOS Local Service Assignment Procedures & Restrictions

PRIOR TO INITIAL ASSIGNMENT

KETOS will work with Contractor to arrange on-site training for Contractor-designated personnel. This training will be a one-time event but will be recorded and documented for Contractor’s future use in the event of personnel changes.

Per Assignment

    1. KETOS will identify the specific Device or Devices on which Contractor is eligible to perform Maintenance.
    2. Contractor shall not nor shall Contractor permit any third party to:
      • photograph, record, create an illustration of, or otherwise document, reproduce, transfer, or transmit, directly or indirectly, the internal components of any Device;
      • reverse engineer, decompile or otherwise attempt to derive the composition or underlying information, structure or ideas of the Device or any components thereof;
      • disassemble the Device or any components thereof other than as necessary to perform the Maintenance;
      • modify, adapt, create derivative products from or design around the Device or any components thereof;
      • use the Device other than in accordance with the instructions or technical documentation;
      • move the Device from the designated site without prior written approval from KETOS; or
      • distribute, sell, sublicense, assign, pledge, rent, lease, loan, timeshare, transfer or provide access to the Device to any third party.
    3. In addition, Contractor shall not permit or cause any third party to open the housing of, or otherwise access, inspect, the internal components of any Device or engage in any aspect of Maintenance.
    4. Contractor acknowledges that, by opening the housing of a Device or otherwise performing any aspect of Maintenance, Contractor might damage the Device or create conditions that impair the accuracy of the data produced by the Device. This impairment may require remediation work to be performed by KETOS at Contractor’s cost.
    5. Contractor agrees that by visiting a customer site and/or performing any aspect of Maintenance, Contractor assumes all liability, without limitation, for:
      • injury to persons or property due to the handling of any Device or component thereof, including but not limited to any chemicals, fluids or electronics; or
      • cost of any remediation work that KETOS is required to perform as a result of improper Maintenance.
